Terms of Service
Last updated: October 2026
1. Agreement to Terms
By accessing or using aiftrust.us ("Website") or the AIF Trust platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Website or Platform.
These Terms apply to all visitors, users, early-access applicants, and customers. Additional terms may apply to specific services (e.g., Early Access Program, customer agreements) and are incorporated by reference.
2. Definitions
- "AIF Trust", "we", "us", "our"
- The entity operating the Website and Platform.
- "You", "User", "Customer"
- Any individual or entity accessing the Website or using the Platform.
- "Platform"
- The AIF Trust Enterprise Agent Governance Platform, including all software, APIs, infrastructure, and evidence packages.
- "Content"
- All text, graphics, code, evidence packages, documentation, and materials on the Website or Platform.
- "Evidence Package"
- Immutable, sealed bundles containing receipts, workflow history, traces, metrics, policy snapshots, and constitution verdicts for independent verification.
3. Early Access Program
The Early Access Program ("Program") is a limited, invitation-only engagement. Key terms:
- Application ≠ Acceptance: Submitting an application does not guarantee acceptance. We evaluate based on use case fit, scale, compliance needs, and engineering capacity.
- No Fees During Program: Accepted participants receive Platform access at no cost for the Program duration (typically 6 months).
- Engineering Partnership: Participants work directly with AIF engineers. This is a co-development relationship, not a standard support arrangement.
- Feedback Obligation: Participants agree to provide timely feedback, report issues, and participate in weekly architecture reviews.
- Conversion: At Program end, participants may convert to standard licensing at locked early-access pricing for 24 months.
- Termination: Either party may terminate with 30 days' notice. We may terminate immediately for breach.
4. Platform Use & Licensing
4.1 License Grant
Subject to these Terms and applicable agreements, we grant you a limited, non-exclusive, non-transferable license to access and use the Platform for your internal business purposes.
4.2 Restrictions
You may not:
- Reverse engineer, decompile, or disassemble the Platform (except where permitted by law).
- Remove or modify proprietary notices.
- Use the Platform for illegal purposes or to violate third-party rights.
- Resell, sublicense, or distribute the Platform without written agreement.
- Attempt to gain unauthorized access to any portion of the Platform.
- Interfere with platform integrity, including evidence package sealing or verification.
4.3 Evidence Packages & Verification
Evidence packages produced by the Platform are your property. You may download, store, replay, and share them with auditors. We do not access your evidence packages without consent, except as required for platform operation or legal compliance.
5. Intellectual Property
All rights in the Website, Platform, and Content (excluding your data and evidence packages) are owned by AIF Trust or our licensors. This includes trademarks, patents, trade secrets, and copyrights. "AIF Trust", the AIF Trust logo, and related marks are our trademarks.
You retain ownership of your data, workflows, and evidence packages. By using the Platform, you grant us a license to process your data solely to provide the Platform.
6. Your Responsibilities
- Account Security: Maintain confidentiality of credentials. Notify us immediately of unauthorized access.
- Compliance: Use the Platform in compliance with all applicable laws and regulations.
- Data Accuracy: Ensure information you provide is accurate and current.
- No Harmful Code: Do not introduce malware, exploits, or code designed to circumvent controls.
- Constitutional Compliance: If using the Constitution Runtime, adhere to the governance model. Policy changes require constitutional review.
7. Service Levels & Availability
For Early Access participants, we target 99.5% monthly uptime but provide no formal SLA. For paying customers, SLAs are defined in the Master Services Agreement. Scheduled maintenance windows are communicated in advance.
The Platform runs on Cloudflare and Temporal infrastructure. We are not liable for upstream provider outages beyond our reasonable control.
8. Confidentiality
Both parties agree to protect Confidential Information (non-public business, technical, or financial information) using at least reasonable care. This obligation survives termination for 3 years. Evidence packages shared with auditors under NDA remain confidential.
9. Disclaimer of Warranties
THE WEBSITE AND PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
EVIDENCE PACKAGES PROVE EXECUTION OCCURRED AS RECORDED. THEY DO NOT WARRANT CORRECTNESS OF BUSINESS LOGIC, ABSENCE OF BUGS IN USER CODE, OR REGULATORY COMPLIANCE OF YOUR WORKFLOWS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIF TRUST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM (OR $1,000 FOR EARLY ACCESS PARTICIPANTS).
THIS LIMITATION APPLIES REGARDLESS OF LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY) AND EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11. Indemnification
You agree to indemnify and hold harmless AIF Trust from claims arising from: your use of the Platform in violation of these Terms; your data or workflows infringing third-party rights; your negligence or willful misconduct.
12. Termination
- You may terminate by ceasing use and requesting account deletion.
- We may terminate for material breach (with 30 days' cure period), non-payment, or legal requirement.
- Upon termination: license ends; you must cease use; we return or delete your data per our Privacy Policy; evidence packages remain accessible for 90 days for export.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes will be resolved in the federal or state courts of Delaware. Both parties consent to personal jurisdiction there.
14. General Provisions
- Entire Agreement: These Terms (plus referenced policies) constitute the entire agreement.
- Severability: If any provision is unenforceable, the remainder stands.
- No Waiver: Failure to enforce a right does not waive it.
- Assignment: You may not assign without consent. We may assign in connection with a business transfer.
- Force Majeure: Neither party liable for delays due to events beyond reasonable control.
